Terms of Service
The agreement between you and Round Table: what you can expect from us, what we expect from you, and how disagreements are settled under Nigerian law.
Effective 6 October 2026
The short version
- Your boards, notes, files and recordings belong to you or your organisation. We only use them to run Round Table for you.
- Use Round Table lawfully and respectfully. Do not upload things you have no right to share, and tell people before you record a call.
- AI suggestions can be wrong. Check them before you rely on them.
- We work hard to keep Round Table available and secure, but we cannot promise it will never fail, and our liability is limited as set out below.
- These terms are governed by Nigerian law. Disputes go first to good-faith talks, then mediation, then arbitration in Lagos, and your rights as a consumer are never taken away.
This summary helps you read the terms of service; the full text below is what applies.

1. This agreement
These Terms of Service ("Terms") are a binding agreement between you and the operator of Round Table ("Round Table", "we", "us", "our"). They apply to the Round Table website, web app, mobile apps, application programming interface (API), integrations and every related service (together, the "Service").
By creating an account, signing in, joining a call, opening a shared board or otherwise using the Service, you confirm that you have read, understood and accept these Terms and our Privacy Policy. If you do not agree, do not use the Service.
You accept these Terms electronically. Under the Evidence Act 2011 and the Cybercrimes (Prohibition, Prevention, etc.) Act 2015, this electronic agreement and our electronic records of it are valid and admissible in the same way as a signed paper document.
If you use the Service for an organisation (for example your employer, school or club), you confirm that you are authorised to accept these Terms for it, and "you" includes that organisation.
2. Words we use
- “Account”
- Your Round Table sign-in, identified by your email address.
- “Organisation”
- A group of people who share workspaces, created by an owner who manages its members.
- “Workspace”
- A space inside an organisation that holds folders, boards and settings.
- “Board”
- A planning session: its cards, comments, files, decisions, outcomes, calls, transcripts and recordings.
- “Your Content”
- Everything you or people in your workspaces put into the Service, including text, files, images, audio, video, transcripts and AI output generated from them.
- “AI Features”
- Features that use automated systems, including large language models and speech recognition, to draft, summarise, translate, transcribe or suggest.
- “Site Admin”
- A person who runs this Round Table server and can manage accounts, announcements and maintenance.
3. Who can use Round Table
You must be at least 18 years old, or the age of majority where you live if higher, and able to enter into a binding contract.
Young people under 18 may use Round Table only through a school or organisation that has obtained the verifiable consent of a parent or legal guardian, as the Nigeria Data Protection Act 2023 requires, and that supervises that use. The school or organisation is responsible for obtaining and keeping that consent. If we learn that someone under 18 is using the Service without it, we will close the account and delete their personal data.
You may not use the Service if we have previously disabled your account for breaking these Terms, or if Nigerian law or the law that applies to you prohibits it.
4. Your account and its security
- Give accurate information and keep your email address current, because we sign you in through it.
- Keep your email account, devices and API tokens secure. Anyone who can read your email can sign in as you.
- You are responsible for everything done through your account and tokens, unless it happened after you told us your account was compromised.
- Tell us at once if you suspect unauthorised access: reply to any email Round Table has sent you. You can also sign out of every device from Settings.
- Do not share an account between people, sell it or transfer it.
5. The Service
Round Table gives teams a shared planning board with video calls, captions and recordings, an AI co-planner, action items, recaps, templates and integrations with other services.
We improve the Service continually, so features may be added, changed or retired. If we remove something important you rely on, we will tell you in advance where we reasonably can and help you export your Content.
We may pause the Service for maintenance or upgrades. Where possible we announce planned maintenance in advance in the app. Your saved Content is not affected.
Some features depend on other providers (such as email delivery, speech recognition, AI models and the services you connect). When a provider is unavailable, the related feature may be too.
6. Fees
Round Table is currently provided free of charge. If we introduce paid plans, we will publish the prices in Naira (inclusive of any Value Added Tax due under Nigerian law) and tell you at least 30 days before any charge applies. You will never be charged unless you choose a paid plan.
7. Your Content
You keep ownership. You, or your organisation, own Your Content. We claim no ownership of it.
Permission you give us. You grant us a worldwide, non-exclusive, royalty-free licence to host, store, copy, process, transmit, display and adapt Your Content only as needed to provide, secure and support the Service for you and the people you share it with, and as our Privacy Policy describes. This licence ends when Your Content is deleted from the Service, except for copies we must keep by law and backups that expire in their normal cycle.
We do not sell it or use it for advertising. We do not use Your Content to train AI models, and we choose providers and settings that do not use it to train theirs.
What you promise. You confirm that you have all rights and permissions needed to upload and share Your Content, including the consent of people whose personal data, image or voice it contains, and that it does not infringe anyone's copyright (including under the Copyright Act 2022), trade secrets, privacy or other rights.
Organisations. Content in an organisation's workspaces is controlled by that organisation. Its owners and admins decide who can see it, may change members' access and may export or delete it. If you leave, the organisation keeps the Content you added there.
Private cards are visible only to you, are encrypted at rest and are never read by the AI for anyone else.
Sharing. When you publish a share link, a public board, a call link or a gallery template, everyone with the link (or, for gallery templates, everyone) can see what you shared until you turn it off. Gallery templates contain only a board's structure, never owners, dates, comments or private cards, and you grant us a licence to display approved templates publicly and let others copy them.
8. Acceptable use
You must not use the Service, or help anyone else use it, to:
- break any law, including the Cybercrimes (Prohibition, Prevention, etc.) Act 2015, the Nigeria Data Protection Act 2023, the Copyright Act 2022 and laws on fraud, defamation, harassment and consumer protection;
- upload or share content that is unlawful, defamatory, obscene, threatening, hateful, violent, or that sexually exploits or endangers children (we report child sexual abuse material to the authorities);
- harass, bully, stalk, intimidate or impersonate anyone, or misrepresent your connection to a person or organisation;
- record, transcribe or share a call without telling the participants and having a lawful basis to do so;
- collect or process other people's personal data without a lawful basis, or upload sensitive personal data (such as health, biometric, religious, political or financial account data) without the explicit consent the law requires;
- send spam, chain messages, phishing or unsolicited invitations;
- upload viruses, malware or anything designed to damage, disrupt or gain unauthorised access to any system;
- probe, scan or test the Service's security, or bypass its limits, access controls or authentication, except under a written agreement with us;
- scrape, crawl or harvest the Service or its users' data by automated means other than our published API;
- copy, modify, reverse engineer, decompile or create derivative works of the Service, except where the law expressly allows it;
- overload the Service, or use it to build a competing product;
- use AI Features to generate content that breaks these rules or to make decisions with legal or similarly significant effects on people without human review.
We may remove or restrict content, links or features that we reasonably believe break these rules, and we may report unlawful activity to the appropriate Nigerian or foreign authorities.
9. Calls, captions and recordings
- Hosts decide whether AI listening, captions and recording are on. Round Table shows everyone in the call when they are.
- If you turn on recording or AI listening, you are responsible for telling participants, including guests, and for having a lawful basis to record them.
- Guests who join through a call link take part under these Terms. They can see the call and the board, but not presence, AI or insights.
- Call audio and video travel through our servers to reach other participants. They are stored only when a host records the call.
10. AI Features
AI Features produce suggestions automatically. They can be incomplete, out of date or wrong, and they may sound confident when they are wrong. You are responsible for checking AI output before you rely on it, share it or act on it.
AI output is not legal, financial, medical, tax or other professional advice. It does not replace the judgement of a qualified professional.
As far as we are concerned, AI output generated from Your Content belongs to you, but similar output may be produced for other people, and we give no assurance that AI output is original or free of third-party rights.
Meeting coach nudges, follow-through rates and lessons are aids to reflection. Round Table does not make decisions about people. A person's own kept-promise rate is shown only to them, and managers see team totals only.
11. Other services you connect
You can connect services such as Google, Microsoft, Notion, Slack, Jira, Linear, Asana and GitHub. When you do, you instruct us to send and receive the data each integration describes. Those services are governed by their own terms and privacy policies, and we are not responsible for them.
You can disconnect an integration at any time. We then stop exchanging data with it and delete the access tokens we held.
12. API tokens
API tokens act as you. Keep them secret, give each the narrowest scope it needs and revoke tokens you no longer use. We may apply rate limits and may revoke tokens that are abused or exposed.
13. Our intellectual property
The Service, including its software, design, text, graphics, logos and the name Round Table, belongs to us or our licensors and is protected by the Copyright Act 2022, the Trade Marks Act and other laws. We grant you a limited, revocable, non-exclusive, non-transferable licence to use the Service under these Terms. No other rights are granted.
If you send us feedback or ideas, we may use them freely without paying you or naming you.
Copyright complaints. If you believe content on the Service infringes your copyright, reply to any email Round Table has sent you with the work concerned, where it appears, your contact details and a statement that you are the owner or authorised to act. We will act promptly, which may include removing the content and telling the person who posted it.
14. Privacy and data protection
Our Privacy Policy explains how we handle personal data under the Nigeria Data Protection Act 2023 and forms part of these Terms.
Where an organisation uses Round Table and decides what happens to its members' data, the organisation is the data controller for its workspace content and we process that data on its behalf and on its instructions. The organisation must have a lawful basis for that processing and must give its members the information the law requires.
15. Suspension and ending this agreement
You may stop using the Service at any time, and you can delete your account yourself in Settings, under Delete account. It is deleted at once, with your personal space, its boards and your private cards; work you added to a team stays with that team. If you are the only owner of a team with other members, make someone else an owner first.
We may suspend or disable your account, remove content or end your access, with notice where reasonable, if: you seriously or repeatedly break these Terms; we must do so by law or by order of a court or regulator; your use creates a security risk or could harm other users, us or third parties; or the account has been inactive for more than 24 months (after notice to your email address).
If we disable your account for reasons other than a serious breach or a legal requirement, we will give you at least 30 days to export Your Content first.
After an account is closed, we delete or anonymise its personal data as our Privacy Policy describes. Content in an organisation's workspaces stays with that organisation. Sections 7 (licence ends as stated), 10, 13, 16, 17, 18, 19 and 20 survive the end of this agreement.
16. Disclaimers
We provide the Service with reasonable care and skill. Beyond that, and to the fullest extent permitted by Nigerian law, the Service is provided "as is" and "as available", and we make no other promises or warranties, express or implied, including that it will be uninterrupted, error-free, completely secure, or fit for a purpose you have not told us about in writing.
Nothing in these Terms limits any right or remedy you have as a consumer under the Federal Competition and Consumer Protection Act 2018 or any other law that cannot be excluded by agreement.
17. Limits on liability
To the fullest extent permitted by law:
- we are not liable for indirect, incidental, special or consequential loss, or for loss of profits, revenue, business, goodwill, opportunity or anticipated savings, however it arises;
- we are not liable for loss caused by events outside our reasonable control (Section 19), by your breach of these Terms, by third-party services you connect, or by unauthorised access to your account resulting from your failure to keep your sign-in secure;
- our total liability for all claims arising from or relating to the Service or these Terms in any 12-month period is limited to the greater of (a) the fees you paid us for the Service in that period and (b) fifty thousand Naira (₦50,000).
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, for wilful misconduct, or for anything else that cannot lawfully be excluded or limited.
You keep your own copies. The Service is not a backup system for your business records. Export what you must keep.
18. Your responsibility to us
If you use the Service for business, you will compensate us for reasonable losses, damages, costs and legal fees arising from a third-party claim that Your Content, or your use of the Service in breach of these Terms or the law, infringed that third party's rights. We will tell you promptly about any such claim and let you take part in defending it. This section does not apply to individuals using the Service for personal, family or household purposes.
19. Events outside our control
We are not responsible for delay or failure caused by events beyond our reasonable control, including failures of electricity, internet or telecommunications networks, failures of hosting or other providers, natural disasters, epidemics, fire, flood, strikes, civil unrest, war, terrorism, cyber attacks we could not reasonably prevent, and acts or orders of government. We will try to limit the effect and restore the Service as soon as we reasonably can.
20. Governing law and disputes
These Terms and any dispute or claim arising out of or in connection with them or the Service (including non-contractual disputes) are governed by the laws of the Federal Republic of Nigeria.
1. Talk to us first. Send a written notice describing the dispute and the outcome you want to the contact details below. Both sides will try in good faith to settle it within 30 days.
2. Mediation. If it is not settled, either side may refer it to mediation at the Lagos Multi-Door Courthouse under its rules then in force. Each side bears its own costs and shares the mediator's fees equally.
3. Arbitration. If mediation does not settle the dispute within 60 days of the referral, it will be finally resolved by arbitration under the Arbitration and Mediation Act 2023 by a sole arbitrator appointed by agreement or, failing agreement within 15 days, by the Chairman of the Lagos Court of Arbitration. The seat of arbitration is Lagos, Nigeria, the language is English, and hearings may be held virtually. The award is final and binding and may be enforced in any court of competent jurisdiction.
What arbitration does not take away. Either side may ask a court of competent jurisdiction in Nigeria for urgent interim or injunctive relief, for example to protect confidential information or intellectual property. If you are a consumer, you may instead bring a complaint to the Federal Competition and Consumer Protection Commission, a data protection complaint to the Nigeria Data Protection Commission, or a claim within the jurisdiction of a small claims court, and nothing in this section limits any right that consumer protection law does not allow to be waived.
21. Changes to these Terms
We may update these Terms to reflect changes in the Service, the law or our practices. We will post the new version here with its effective date. For changes that materially affect your rights, we will tell you at least 30 days in advance by email or in the app, unless the change is required sooner by law or to address a security risk. If you keep using the Service after a change takes effect, the new Terms apply. If you do not agree, stop using the Service and you may close your account.
22. General
- Entire agreement. These Terms, the Privacy Policy and any terms shown for a specific feature are the whole agreement between you and us about the Service.
- Severability. If a court or arbitrator finds part of these Terms invalid or unenforceable, that part is changed as little as needed to make it enforceable, and the rest stays in force.
- No waiver. If we do not enforce a right at once, we have not given it up.
- Assignment. You may not transfer your rights under these Terms without our written consent. We may transfer ours to a successor in a merger, acquisition or sale of the Service, and we will tell you if we do.
- No partnership. These Terms do not create a partnership, joint venture, employment or agency relationship.
- Third parties. No one other than you and us has rights under these Terms, except the organisation you act for.
- Notices. We send notices to your account email or show them in the app. You send notices to the contact details below. A notice by email is received when sent, unless the sender learns it was not delivered.
- Language. These Terms are written in English, which is the version that applies.
23. Contact
